We are excited to have you host an Ay Amor Inc. (“Ay Amor”) sales event (the “Event”) at your Location. This Agreement outlines the terms and conditions for you to host the Event and any other future Events you may hold at the Location. Please read the terms and sign at the end of the Agreement.

Safety and Conduct

You have primary responsibility for your own safety and for the safety of anyone that you allow on to the Location during the Event. Ay Amor is in no way responsible or liable for the safety of you or Event attendees or anyone else you invite into the Location. It is your responsibility to bring any concerns regarding the Location to the attention of Event attendees and other visitors. You acknowledge that you are solely liable for the conduct of Event attendees, notwithstanding the presence of your Ay Amor sales consultant or any other Ay Amor representatives at the Event, including, but not limited to, any liability under host liquor liability laws.

You must comply with any building regulations, codes, by-laws, or other rules applicable to your Location when hosting the Event.

Ay Amor is not responsible for or liable to you for any damage to your Location, your personal property, or the personal property of anyone else at the Location that occurs and is in any way connect to the Event, including any damage, whether accidental or intentional, caused by your Ay Amor sales consultant.

Your Ay Amor sales consultant is an independent contractor sales representative of Ay Amor and you acknowledge that Ay Amor is not responsible or liable for the actions of your Ay Amor sales consultant.
Financial Matters; Intellectual Property

Ay Amor is not liable for any business, financial, or economic loss by you as result of hosting the Event and Ay Amor does not make any representations regarding any expected economic result regarding the Event.

Ay Amor will compensate you for qualifying sales at the Event as follows:
When orders and sales revenue of Ay Amor products sold at the Event total:
You will receive in Ay Amor credits:

(a) Ay Amor credits expire 5 days after the Event;

(b) the discount offered above expires after one year from the date of the Event;

(c) Ay Amor credits and discounts offered must be used by you for your own personal, non-commercial purchase of Ay Amor products and may not be assigned to any other person;

(d) Notwithstanding anything outlined in this section, the maximum discount for Huichol shoes (SKU numbers HH1 and HH2) is 15%;

(e) Ay Amor credits and product discounts may not be combined or used with any other offer;

(f) all references to dollars are in Canadian currency.

All Ay Amor products brought by Ay Amor, your Ay Amor sales representative, or any agent of Ay Amor are the exclusive property of Ay Amor until sold in accordance with the sales terms and conditions attached to product sales by Ay Amor.

All intellectual property of Ay Amor, including, but not limited to, trademarks, tradenames, copyrights, patents, product designs, branding, and all other forms of intellectual property remain the sole and exclusive property of Ay Amor and its licensors.

You may not showcase, sell, or otherwise present the products of any other retailer, distributor, or other seller as part of your Event without our prior written consent.
Limitation on Liability
10. Subject to any exceptions in applicable law, and without reducing the other limitations on liability contained in this Agreement, Ay Amor’s liability for all losses including, without limitation, for property damage, personal injury, and death and whether such claim arises out of breach of contract, tort, negligence or otherwise will be limited to
is subject to the following terms and conditions:
the amount of any financial compensation offered to you in connection with the Event as outlined in this Agreement.
11. You agree to indemnify and hold Ay Amor, your Ay Amor sales consultant, and their respective officers, directors, shareholders, members, partners, agents, and assigns harmless from any and all liability, claims, loss, property damage or expenses arising by reason of any injury, death or damages sustained by any person, or to the property of any person, including you or any visitors or invitees you permit to enter the Location, where such injury death or damage is in any way connected to the Event, your negligent or intentional acts or omissions, or by any actions of visitors or invitees present at the Event.
Miscellaneous
12. Successors and Assigns. This Agreement shall benefit Ay Amor, its successors and any permitted assigns. This Agreement shall not be assignable by you without the express written consent of Ay Amor.
13. Entire Agreement. This Agreement is the entire agreement between us regarding the subject matter of this Agreement and supersedes all other representations, marketing information, and understandings.
14. Waiver. Any waiver of any part of this Agreement by us will not be a waiver of any action to enforce our rights and remedies for any other breach.
15. Severability. You agree that these terms are fair and reasonable. However, if any the terms are held not to be valid by a court but would be valid if part of the wording were deleted, then such provision shall apply with such deletions as may be necessary to make it valid. If any of the provisions in these terms are held not to be valid the remaining provisions of these terms shall remain in full force and effect.
16. Governing Law. These conditions are governed by the laws of the Province of Alberta and the federal laws of Canada. You agree to submit to the exclusive jurisdiction of the courts of the province of Alberta and the federal courts of Canada located in the Province of Alberta for all disputes between us arising out of this Agreement or the Event.
